STANDARD TERMS AND CONDITIONS

1. Scope of Services

Code Legion provides IT and consulting services including but not limited to:

•     Web & App Development

•     ERP Implementation (including Odoo)

•     Software Development

•     Laravel & Shopify Development

•     Digital Solutions

•     Financial & Business Consulting

Services are delivered strictly according to the agreed proposal, quotation, contract, or statement of work.

Any additional work outside the agreed scope will be billed separately.

2. Acceptance & Priority of Terms

These Terms override any standard terms of the Client unless expressly agreed in writing by Code Legion.

No verbal agreement shall modify these Terms.

3. Payment Terms

•     A minimum advance payment is required before project commencement.

•     Milestone payments must be cleared before proceeding to the next stage.

•     All invoices are payable within 15 calendar days unless otherwise stated.

Late Payment

If payment is not received by the due date:

•     Code Legion may immediately suspend services without notice.

•     Access to servers, hosting, code repositories, or deployed systems may be restricted until payment is cleared.

4. Non-Payment & Legal Recovery

If payment remains outstanding for more than 45 days:

•     Code Legion may terminate the agreement.

•     Deliverables, source code, credentials, and system access may be withheld.

•     Legal recovery proceedings may be initiated.

All legal, recovery, and administrative costs shall be borne by the Client.

5. Taxes & Withholding

All fees are exclusive of applicable taxes.

Any withholding tax, deductions, or government levies required under Pakistani law shall be borne entirely by the Client. The full invoiced amount remains payable to Code Legion.

6. Intellectual Property & Ownership

•     Ownership of custom-developed work transfers only after full payment.

•     Until full payment is received, all code, designs, systems, and assets remain the property of Code Legion.

•     Code Legion retains the right to display completed projects in its portfolio unless a separate NDA agreement states otherwise.

Third-party tools, themes, plugins, or licenses remain subject to their original license terms.

7. Client Responsibilities

The Client agrees to:

•     Provide accurate information and content.

•     Give timely feedback and approvals.

•     Ensure payment deadlines are met.

•     Maintain proper software licenses where applicable.

Delays caused by the Client will automatically extend project timelines.

8. No Guarantee of Business Results

Code Legion provides professional services according to industry standards.

However:

•     We do not guarantee specific financial results, revenue growth, rankings, or performance outcomes.

•     ERP, eCommerce, SEO, or financial consulting outcomes depend on multiple external factors beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law:

•     Code Legion shall not be liable for indirect, incidental, consequential, special, or punitive damages.

•     Our total liability shall not exceed the total amount paid by the Client for the specific service.

•     We are not responsible for third-party failures including hosting providers, payment gateways, APIs, internet outages, or external software systems.

10. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without written consent.

This obligation survives termination of services.

11. Termination

Either party may terminate the agreement in writing.

Upon termination:

•     Work completed up to the termination date will be invoiced immediately.

•     Advance payments are non-refundable once work has started.

•     Partially completed work remains the property of Code Legion until fully paid.

12. Data & Backup Responsibility

Unless specifically included in the service agreement:

•     The Client is responsible for maintaining backups of their data.

•     Code Legion shall not be responsible for data loss caused by hosting providers, hacking, system failure, or client negligence.

13. Force Majeure

Code Legion shall not be liable for delays or failure caused by events beyond reasonable control, including but not limited to:

•     Natural disasters

•     Government restrictions

•     Political unrest

•     Internet or power outages

•     Cyber attacks

14. Governing Law & Jurisdiction

The laws shall govern these Terms.

Any disputes shall be subject to the exclusive jurisdiction of the courts 

15. Modifications

Code Legion reserves the right to update these Terms at any time. Updated Terms will be published on the website.

Continued use of our services constitutes acceptance of the revised Terms.
